Company Formation

How to form a UK limited company with WeFile

7 min read

Incorporating a new limited company in the UK is an exciting milestone. WeFile provides a completely free, streamlined wizard to submit your formation request directly to Companies House.

Starting the Wizard

From your main dashboard, navigate to the 'Formations' tab and click 'Start New Formation'. You will begin by entering your desired company name. Our system will check the Companies House registry in real-time to ensure the name is available and doesn't contain restricted words.

Company Details and SIC Codes

Next, you will define the basic structure. Enter your official Registered Office address—this must be a physical address in the UK where legal documents can be delivered. You will also select your SIC (Standard Industrial Classification) codes, which describe the nature of your business activities.

Directors and Shareholders

You must appoint at least one director who will run the company, and at least one shareholder who owns it (this can be the same person). You will need to provide basic personal details, a service address, and specific security questions used by Companies House in place of a physical signature.

Share Capital Structure

You will define how your company is divided into shares. For most simple formations, allocating 100 Ordinary shares at £1 each is standard practice. The wizard will guide you through assigning these shares to your designated shareholders.

Articles of Association

The Articles of Association dictate the internal rules of your company. WeFile automatically applies the standard 'Model Articles' provided by the government, which are perfectly suitable for the vast majority of small businesses.

Review and Submit

After a final review of the generated documentation, you can submit your application. WeFile transmits this securely via our direct Companies House Presenter Account. Standard formations are typically processed within 24 to 48 hours, after which you will receive your official Certificate of Incorporation.
