1. Introduction

These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you", or "your") and WeFile Limited, trading as WeFile ("WeFile", "we", "us", or "our"), registered in England and Wales under company number 17080509.

By accessing or using the WeFile platform via the domain wefile.co.uk, you agree to comply with and be bound by these Terms.

2. Definitions

  • Platform: The WeFile web application available at wefile.co.uk.
  • Services: The software tools provided by WeFile that facilitate the electronic preparation and submission of CT600 returns and statutory accounts.
  • User: Any individual or entity registering for an account or using the Platform.
  • Filing: A submitted package of data directed to HMRC and/or Companies House.
  • Accounts: The financial statements and records of a company.

3. Eligibility

To use the Platform, you must be at least 18 years of old and be a director or a legally authorised representative of a UK limited company. By creating an account, you represent and warrant that you have the authority to act on behalf of the company you are registering.

4. Account Registration

You agree to provide accurate, current, and complete information during the registration process and to keep your account details updated. You are entirely responsible for maintaining the confidentiality of your account password and credentials.

We highly recommend enabling Two-Factor Authentication (2FA) in your account settings. You must immediately notify us of any unauthorised use of your account.

5. Services Description

WeFile provides a software tool designed to simplify and facilitate the digital submission of CT600 returns and statutory accounts to HM Revenue & Customs (HMRC) and Companies House for micro-entity companies.

Important: WeFile is NOT an accountancy firm. The Services do not constitute accounting, tax, financial, or legal advice. The Platform operates strictly on the data you provide.

6. User Responsibilities

As a User of WeFile, you are solely responsible for:

  • The accuracy, completeness, and legality of all data and financial figures you enter into the Platform.
  • Maintaining valid and working HMRC and Companies House authentication credentials where required.
  • Ensuring that all filings are submitted before their respective statutory deadlines. WeFile is not liable for late filing penalties.
  • Overall compliance with UK tax laws and statutory obligations.

7. Fees and Payment

WeFile operates on a fixed per-filing fee structure. Fees are clearly displayed prior to final submission. Payment must be made securely via our payment provider, Stripe, before any data is transmitted to HMRC or Companies House.

All prices are displayed at checkout prior to payment.

8. Refund Policy

You may request a full refund for any paid Filing provided that the data has not yet been submitted to HMRC or Companies House.

Once a Filing has been successfully transmitted to the relevant authorities, the service is deemed fully delivered and the fee is non-refundable. To request a refund prior to submission, please raise a support ticket via the Help Centre.

9. Intellectual Property

All intellectual property rights in the WeFile Platform, including but not limited to its software, design, text, and graphics, are owned by WeFile Limited. You are granted a limited, non-exclusive, non-transferable licence to use the Platform strictly for its intended purpose.

You retain all ownership rights to the financial data and company information you input into the Platform.

10. Limitation of Liability

WeFile acts solely as a technological facilitation tool. We are not responsible for any errors, omissions, or miscalculations resulting from incorrect data provided by you.

To the maximum extent permitted by law, WeFile shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, or business opportunities, or any penalties levied by HMRC or Companies House. Our maximum total liability for any claim arising under these Terms shall not exceed the amount paid by you for the specific Filing in question.

11. Disclaimer

WeFile does not guarantee or warrant that filings will be unconditionally accepted by HMRC or Companies House, as acceptance is subject to their independent validation processes and the accuracy of your data. If you require professional assurance, you should consult a qualified accountant or tax professional.

12. Termination

Either party may terminate this agreement at any time. You may delete your account by contacting support. Upon account deletion, you may request an export of your data prior to closure.

WeFile reserves the right to suspend or terminate your account immediately, without notice, if we reasonably suspect misuse, fraudulent activity, or a material breach of these Terms.

13. Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes.
